Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the https://spiresol.com/ website (the "Service") operated by SpireSol LLC ("us", "we", or "our").

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms. If You disagree with any part of these Terms, then You may not access the Service.

1. Eligibility

By using our Service, you represent and warrant that:

  • You are at least 18 years of age or the age of legal majority in your jurisdiction.
  • You have the legal capacity and authority to enter into these Terms.
  • If you are registering on behalf of a business entity, you have the authority to bind that entity to these Terms.
  • All information you provide is accurate, current, and complete.

2. Description of Service

SpireSol LLC provides freight dispatching services for owner-operators and small trucking companies. Our services include, but are not limited to: load sourcing and scheduling, broker setup and management, invoicing and paperwork handling, route planning, back-office support, and rate negotiation.

We act as an independent dispatching service and are not a motor carrier, broker, or freight forwarder. We do not assume responsibility for the transportation of goods.

3. Carrier Registration and Obligations

To use our dispatching services, carriers must complete the registration process and provide accurate information including but not limited to: MC/MX number, company name, contact information, equipment type, and required documentation (MC Authority, Signed W9, Certificate of Insurance, Factoring Agreement).

Carriers agree to:

  • Maintain valid and current operating authority and insurance coverage.
  • Provide accurate and up-to-date information at all times.
  • Comply with all applicable federal, state, and local laws and regulations.
  • Maintain a satisfactory safety rating with the FMCSA.
  • Promptly notify SpireSol LLC of any changes to their authority, insurance, or contact information.

4. No Forced Dispatch

SpireSol LLC operates on a no-forced-dispatch policy. Carriers retain full authority to accept or decline any load offered through our service. We recommend loads based on your preferences and requirements, but the final decision always rests with the carrier.

5. Payment and Fees

Our dispatching fees are agreed upon separately with each carrier. Fees may be structured as a percentage of load revenue, flat fee per load, or as otherwise agreed in a separate written agreement. Payment terms will be outlined in the individual carrier agreement.

SpireSol LLC is not responsible for collecting freight charges from brokers or shippers on behalf of carriers unless explicitly agreed upon in writing.

6. Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of SpireSol LLC and its licensors. The Service is protected by copyright, trademark, and other laws of the United States.

7. Links to Other Websites

Our Service may contain links to third-party websites or services that are not owned or controlled by SpireSol LLC. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

8. Limitation of Liability

In no event shall SpireSol LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service.
  • Any conduct or content of any third party on the Service.
  • Any content obtained from the Service.
  • Unauthorized access, use, or alteration of your transmissions or content.
  • Delays, losses, damages, or injuries arising from the transportation of goods.

9. Indemnification

You agree to defend, indemnify, and hold harmless SpireSol LLC and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of and access to the Service.

10. Termination

We may terminate or suspend Your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach the Terms. Upon termination, Your right to use the Service will immediately cease.

Either party may terminate the dispatching relationship at any time by providing written notice to the other party, subject to any outstanding obligations or agreements.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Casper, Wyoming.

12. SMS/Text Messaging Consent

By providing your phone number and opting in, you consent to receive text messages from SpireSol LLC related to load updates, dispatch communications, and service-related notifications. Message and data rates may apply. You may opt out at any time by replying "STOP" to any message.
No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

13. Changes to Terms

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

14. Entire Agreement

These Terms constitute the entire agreement between You and SpireSol LLC regarding the use of the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
